EXPERIENCE
A member in both the firm’s Corporate Transactions Department and Real Estate Department, Brian’s legal practice comprises sophisticated corporate and commercial real estate transactions. He represents clients on a range of matters including mergers, acquisitions, dispositions, reorganizations, separations, 1031 exchanges, joint ventures and financing. He also regularly serves in a corporate counsel capacity, providing advice to clients on a large variety of day-to-day operations. His clients cover a broad range of privately-owned businesses such as shopping center owners, automotive dealerships, billing service providers, multifamily/mixed-use property owners, and serial entrepreneurs.
Before practicing law, Brian worked as a financial consultant with Smith Barney’s Private Client Group in Bethesda, Maryland, and as a purchasing manager for a successful products company in Rockville, Maryland.
REPRESENTATIVE MATTERS
Corporate Transactions
- Represented an automobile dealership in the sale of an Alexandria, Virginia automobile dealership and corresponding real property for what was one of the largest single-point automotive dealership sales (by dollar value) in the DC Metro area
- Represented a medical billing company in its sale of a related medical billing business
- Represented a cosmetics company in its purchase of a branded line of products from an international seller
- Represented one of two principals of a commercial real estate brokerage and property management company in a business separation
- Represented a client in the acquisition of one of the largest sports complexes in the country
- Represented a health care company in its acquisition of two assisted living facilities located in Maryland
- Represented a Maryland cannabis company in connection with structuring, startup and initial investors prior to obtaining vertically integrated cannabis licenses
- Represented a portfolio holding company in structuring, formation and the acquisition and sale of various operating businesses
- Represented a bank in the purchase of a portfolio of mortgage and HELOC loans from another bank
- Represented a sophisticated investor in the acquisition of ownership interests in and consulting arrangement with an energy trading company
- Represented a real estate fund, as Maryland local counsel, in connection with a multi-billion-dollar merger (in which Maryland was the merger jurisdiction)
Real Estate
- Represented a commercial real estate company in the purchase of a nine-shopping center portfolio from a large REIT, comprising properties located in Maryland, Virginia and Pennsylvania
- Represented a commercial real estate company in the simultaneous refinance of eleven mortgage loans
- Represented a commercial real estate company in its purchase of an office park
- Represented a commercial real estate company in the creation of a blind pool real estate fund and various real estate acquisitions by the fund
- Represented the sponsor of multi-family apartments to structure and document outgoing investor’ separate 1031 exchanges or part-cash out by various parties on the sale of a real property project, as well to accept numerous 1031 investors’ in the corresponding purchase of replacement property
- Represented a real estate company in obtaining preferred equity from an institutional investor in connection with its acquisition of multi-family apartments, including negotiation of joint venture agreement and related documents

EDUCATION
Brian earned his J.D. from the University of Maryland School of Law and a Master of Laws in Taxation (LL.M.) from the University of Baltimore School of Law. He completed his undergraduate studies at the University of Maryland, earning a degree in economics and an honors certificate from the University Honors Program.
